There is no minimum order; however, orders under $100 will incur a nominal handling charge of $10.

Terms for all orders are net 30 days. All prices are given in US dollars and it is the Seller's intention to keep them fixed during the life of the catalog; however, prices are subject to change without notice. The most current pricing may be found at our web site: (www.innovscience.com). Prices are free on board (FOB) from Blacksburg, Virginia. As such the Seller prepays shipping and insurance and adds these costs to the Buyer's invoice, which is mailed to the Buyer separately. All invoices need to be paid in US dollars for the exact invoice amount. Bank charges that result from the conversion or transmission of foreign currencies, taxes or fees of any kind (e.g. customs, duties, etc.) are an added expense for the customer in addition to the invoice amount. Should such fees be assessed to an order a separate invoice for these fees will be mailed to the Buyer in addition to the original invoice for the order. Innovative Science Inc. accepts the Buyer's orders solely in accordance with the terms and conditions stated herein. By placing an order the Buyer agrees to abide by these terms and conditions.

Innovative Science Inc. will ship according to the Buyer's preferred method whenever possible. The standard method of shipping is FedEx® two day since it is the best service at the most economical rate. Unless an item is out of stock all orders that are received by 5:00 PM EST are shipped the same day. Innovative Science Inc. abides by government regulations on the safe shipping of hazardous materials and reserves the right to change the method of shipment originally requested by the Buyer in order to comply with any legal requirement. Most of the products offered by Innovative Science Inc. are very sensitive to moisture and other impurities. Innovative Science Inc. uses specialized packaging methods to prevent decomposition of these products. The Seller urges the Buyer to follow the handling instructions included with each package to maintain the integrity of these materials.

The products offered by Innovative Science Inc. are intended for laboratory research purposes only. They are not to be used for any other purpose. Innovative Science Inc. will not be held responsible for misuse of its products by the Buyer regardless of application.

Each product is supplied with an MSDS form in compliance with OSHA. Additional copies may be obtained from the website (www.innovscience.com) or requested by calling 540-394-5143.

All of the Seller's products are accompanied with a batch-specific Certificate of Analysis and a copy of pertinent spectroscopic data. Due to the sensitivity of these materials analysis is typically limited to those techniques that can be readily conducted under an inert atmosphere (e.g. 19F NMR spectroscopy).

Most of the chemicals that are contained in this catalog are relatively new and experimental in nature; thus, many of these materials are not listed in the TSCA inventory. Innovative Science Inc. does not warrant that its products are listed in the chemical substances inventory under the TSCA. The Buyer warrants that use of products purchased from the Seller will be in full compliance with the TSCA.

Innovative Science Inc. assumes no responsibility for the completeness or accuracy of the information contained in this catalog covering potential hazards associated with the handling or use of the products listed or their suitability for a particular application. The absence of a warning label does not mean that the product is not hazardous, especially since most of these materials have not been thoroughly evaluated for potentially harmful effects. The Buyer acknowledges that there are hazards associated with the handling and use of these materials and assumes all responsibility for the safe and proper use of purchased products.

The information contained in this catalog has been obtained from normally reliable sources (e.g. scientific literature) and is accurate to the best of the Seller's knowledge. The Seller makes no guarantee concerning this information and the Buyer agrees to fully determine the completeness of any technical data associated with a particular product. Innovative Science Inc. warrants title as provided in the Uniform Commercial Code and makes no other representations or warranties of any kind.

The Buyer must submit in writing any claims to the Seller and such claims must be received and acknowledged by the Seller within 30 days of receipt of the product(s) in question. Claims that do not satisfy this condition shall be waived. Upon approval of returned product the Seller shall have the option at its sole discretion to replace the product with a conforming product or to return the purchase price to the Buyer. The Buyer's exclusive remedy for any cause or claim whatsoever, including but not limited to alleged breach of warranty, product liability, negligence, or otherwise, shall be for money damages in an amount not to exceed the purchase price paid by the Buyer for the product in respect to which the claim is made. The Seller shall not be liable for special, incidental or consequential damages, whether the Buyer's claim is in contract, negligence, strict liability or otherwise even if the Seller has been advised of the possibility of such damage. In consideration of the sale of product(s) to the Buyer, which sales the Seller would not otherwise make, the Buyer agrees to indemnify and hold the Seller harmless from all claims, expenses, losses and liability of any kind whatsoever arising out of the Buyer's handling and/or use of product(s), whether used alone or in combination with any other material.

All orders will be governed by the law of the Commonwealth of Virginia without regard to its choice of law principles. Any litigation concerning an order shall be brought in the United States District Courts and/or State courts located in the Commonwealth of Virginia and the parties hereby agree to submit to the jurisdiction of these courts for such purposes. The parties further agree that the Convention of Contracts for the International Sale of Goods shall have no application with respect to this order.

Some of the products offered by Innovative Science Inc. may be covered by use or application patents. Innovative Science Inc. does not warrant that the use or sale of these materials will not infringe on any patent or patent application covering the product itself or use thereof in combination with other materials or in the operation of any process. The Buyer assumes all responsibility for any patent infringement resulting from his/her use of our products.

The Buyer should inspect all packages immediately upon receipt and report any damage, shortage, or defect to Innovative Science Inc. immediately. The Buyer must submit claims for any discrepancies in writing to the Seller and such claims must be received and acknowledged by the Seller within 30 days of receipt of the product(s) in question. For orders exceeding $1,000 the Buyer is advised to insure the package with the freight carrier. The Seller will not replace materials that have been damaged as a result of mishandling on part of the Buyer.

Innovative Science Inc. normally does not accept return shipments. Returns will be accepted only if Innovative Science Inc. has given prior written permission and provided return shipping instructions. Returned materials that require disposal may incur additional charges. A 20% restocking fee will be applied on catalog items that are returned and is subject to a minimum charge of $20.
